This Store Owner Agreement ("Agreement") is entered into between BOOA Studios ("Platform," "we," "us," or "our") and the individual or entity registering as a store partner ("Store Owner," "you," or "your"). By acknowledging this Agreement, you confirm that you have read, understood, and agreed to be bound by all terms set out below. If you do not agree, you may not operate a store on BOOA Studios.
All products must be submitted through the Store Owner dashboard and are subject to admin review and approval before going live on the platform.
Product listings must include an accurate name, correct price, honest description, and real photographs of the actual product
No stock images, images of products you do not own, or misleading representations are permitted
A maximum of 5 images per product may be submitted, each in JPG, PNG, or WebP format and under 2MB in size
All products must be legal to sell in South Africa under the Consumer Protection Act (No. 68 of 2008) and all other applicable legislation
The following are strictly prohibited: counterfeit goods, stolen items, unlicensed products, weapons, controlled substances, tobacco, adult content, and any item that is illegal under South African law
BOOA Studios reserves the right to reject any submission without providing a reason, and to remove any approved product at any time if it is found to be in breach of this Agreement
Specific examples of violations: Listing a product at a different weight or quantity than what is delivered; using AI-generated images that misrepresent the actual product; submitting products that belong to another brand without authorisation.

Order Fulfillment
Once a customer places an order, you are obligated to fulfill it in accordance with the timelines below. Failure to fulfill an order without valid reason constitutes a breach of this Agreement.

Product Quality & Accuracy
The product a customer receives must match exactly what was described and shown in the product listing at the time of purchase.
No substituting products without explicit customer consent and BOOA Studios approval
Products must be in the condition described — items listed as new must be new and unused
Damaged, expired, or defective products may not be sold on the platform
Stock levels must be kept accurate at all times — if a product is out of stock, you must update your dashboard immediately
You may not list products that are not in your possession or control at the time of listing
Important: BOOA Studios is not liable for the quality of products sold by store owners. However, repeated quality complaints will result in suspension and may result in permanent removal from the platform.

Pricing
All prices must be listed in South African Rands (ZAR) and must be the final price inclusive of any applicable fees
Prices must be honoured once a customer places an order — you may not change a price after an order has been confirmed
Pricing must be fair and not artificially inflated or misleading
BOOA Studios reserves the right to review and flag pricing that appears unreasonable, deceptive, or in violation of the Consumer Protection Act
Any commission or revenue-sharing arrangement between you and BOOA Studios will be set out in a separate commercial agreement

Communication & Conduct
You must respond to communications from BOOA Studios within 24 hours during business days
You may not contact customers outside of the BOOA Studios platform for business purposes related to orders placed on the platform
No spamming, unsolicited messaging, harassment, or intimidation of customers is permitted
You must treat all customers with professionalism and respect at all times
Any customer dispute must be reported to BOOA Studios — you may not attempt to resolve disputes independently in a manner that could harm the customer or the platform's reputation
Specific examples of violations: Messaging a customer on WhatsApp to upsell a product outside of the platform; being rude or dismissive to a customer who raises a complaint; threatening a customer who leaves negative feedback.

Payments & Finances
You may not request, accept, or solicit direct payment from customers outside of the BOOA Studios platform for orders placed on the platform — this includes EFT, cash, or any other payment method not processed through BOOA Studios without the proper authorization email.
Any attempt to divert customers to pay outside of the platform will result in immediate and permanent removal from the platform
BOOA Studios takes no responsibility for any orders or transactions conducted outside of the official platform checkout
Your revenue share or payout arrangement will be detailed in a separate commercial agreement between you and BOOA Studios
Zero tolerance: Diverting foul payments outside the platform is the most serious breach of this Agreement and will result in immediate removal without appeal.

Intellectual Property
You warrant that all product images, descriptions, brand names, and content you submit are either your own original work or that you have the legal right to use and publish them on the BOOA Studios platform
You may not submit content that infringes the copyright, trademark, or intellectual property rights of any third party
You indemnify BOOA Studios against any claims, losses, or damages arising from your submission of content that infringes third-party intellectual property rights
BOOA Studios retains the right to display your product images and descriptions on its platform and in marketing materials related to the promotion of your store

Customer Data & Privacy
As a Store Owner, you will have access to certain customer information through your dashboard, including customer names, phone numbers, and delivery addresses, solely for the purpose of fulfilling orders.
Customer data may only be used for the purpose of fulfilling orders placed on the BOOA Studios platform
You may not store, sell, share, transfer, or use customer data for any purpose other than order fulfillment
You may not use customer contact details to market your products or business independently outside of the platform
All handling of customer data must comply with the Protection of Personal Information Act (POPIA, No. 4 of 2013)
Any breach of customer data privacy must be reported to BOOA Studios within 24 hours of becoming aware
POPIA compliance is mandatory. Misuse of customer data may expose you to legal liability under South African law in addition to removal from the platform.

Brand & Reputation
You may not use the BOOA Studios name, logo, or branding for your own independent marketing or commercial purposes without prior written permission from BOOA Studios
You are encouraged to promote your BOOA Studios store page on your own social media — when doing so, all references to BOOA Studios must be truthful, professional, and accurate
You may not make any public statement — whether online, in person, or in writing — that is false, misleading, or damaging to the reputation of BOOA Studios
Any conduct that, in BOOA Studios' reasonable opinion, brings the platform into disrepute will be treated as a serious violation of this Agreement

Account & Access
Your store partner account is personal and non-transferable — you may not share your login credentials with any other person or entity
You may not create or operate multiple store partner accounts
Upon suspension or termination of your account, your access to the store owner dashboard will be revoked immediately
Upon termination — whether initiated by you or by BOOA Studios — you remain obligated to fulfill any pending orders that were placed prior to termination
BOOA Studios reserves the right to suspend or permanently remove any store owner account at its sole discretion for any breach of this Agreement

Force Majeure
If you are unable to fulfill an order due to circumstances genuinely beyond your reasonable control — including but not limited to illness, natural disaster, or unforeseen emergency — the following applies:
You must notify BOOA Studios at info@booastudios.co.za within 24 hours of becoming aware that fulfillment will not be possible
BOOA Studios will manage customer communication and determine the appropriate course of action
Repeated or pattern-based claims of force majeure without reasonable evidence may be treated as a breach of this Agreement
This clause does not apply to situations that could reasonably have been anticipated or prevented through proper stock and business management

Violations & Consequences
The consequences for breaching this Agreement will be determined by BOOA Studios based on the severity and frequency of the violation:

BOOA Studios will use reasonable judgement in determining the appropriate consequence and will consider the store owner's history and the impact of the violation on customers and the platform.

Appeals Process
If you believe a suspension or removal decision was made in error, you have the right to appeal as follows:
You must submit your appeal in writing to info@booastudios.co.za within 7 calendar days of receiving the suspension or removal notice
Your appeal must include your full name, store name, the decision you are appealing, and your reasons for the appeal
BOOA Studios will review your appeal and respond within 7 business days
During the appeal period, your account will remain suspended
The decision made by BOOA Studios following the appeal is final
Appeals are not available for Zero Tolerance violations (fraud, illegal products, payment diversion)

Amendments & Notice
BOOA Studios reserves the right to amend this Agreement at any time
For material changes, BOOA Studios will notify all active store owners via the in-platform broadcast/announcements system and by email with at least 7 calendar days' notice before the changes take effect
Minor or administrative changes may be made without prior notice and will be reflected in the updated date at the top of this page
Your continued operation as a store partner after the effective date of any amendment constitutes your acceptance of the revised Agreement
If you do not agree to an amendment, you must notify BOOA Studios before the effective date and cease operating as a store partner

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Pretoria, Gauteng, South Africa. Both parties agree to first attempt to resolve any dispute informally by written notice before initiating legal proceedings.
By completing and submitting this form, you confirm that you have read this Agreement in full, that you understand your obligations as a BOOA Studios Store Partner, and that you agree to be bound by all terms set out above. Your acknowledgment will be recorded with a timestamp for our records.
