We are BOOA Studios ("Company," "we," "us," "our"), a company in South Africa at Pretoria CBD, Pretoria, 0001. We operate www.booastudios.co.za — an online marketplace where store owners can submit and sell products, and customers can browse and purchase securely.

By accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

The Services are intended for users who are at least 18 years old.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law or regulation. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics, as well as the trademarks, service marks, and logos contained therein. These are protected by copyright and trademark laws worldwide.

We grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your personal, non-commercial use. No part of the Services may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you have the legal capacity and agree to comply with these Legal Terms; (3) you are not a minor in the jurisdiction in which you reside; (4) you will not access the Services through automated or non-human means; (5) you will not use the Services for any illegal or unauthorised purpose; and (6) your use of the Services will not violate any applicable law or regulation.

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

We make every effort to display products accurately, however we do not guarantee that colours, features, specifications, and details will be accurate or free of errors. All products are subject to availability and we cannot guarantee items will be in stock. Prices for all products are subject to change.

We accept the following forms of payment: Visa, Mastercard, Apple Pay, Google Pay, and Pay on Delivery (where available). All payments shall be in South African Rands (ZAR) per each Store Owner.

You agree to provide current, complete, and accurate purchase and account information for all purchases to any Store Owner. We reserve the right to refuse any order, limit or cancel quantities purchased, and correct any errors in pricing even after payment has been received.

Please review our Return Policy prior to making any purchases. All sales are final and no refund will be issued.

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include but are not limited to: data scraping, account impersonation, uploading malicious code, circumventing security features, harassing other users, submitting false product information, attempting to bypass the payment or approval systems, and using the platform for illegal activities.

The Services may allow you to create, submit, post, or transmit content and materials ("Contributions"). Contributions may be viewable by other users and through third-party websites. When you create or make available any Contributions, you represent and warrant that they do not infringe any proprietary rights, are not false or misleading, are not obscene or objectionable, and comply with all applicable laws.

By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide right and license to use, copy, reproduce, distribute, sell, publish, broadcast, store, publicly perform, publicly display, reformat, translate, and exploit your Contributions for any purpose. You retain full ownership of your Contributions and all associated intellectual property rights.

The Services may contain links to third-party websites or content. Such third-party websites and content are not investigated, monitored, or checked for accuracy by us. We are not responsible for any third-party websites accessed through the Services or any third-party content available through the Services. If you access third-party websites, you do so at your own risk.

We reserve the right, but not the obligation, to: monitor the Services for violations; take appropriate legal action against violators; refuse, restrict, or limit access to your Contributions; remove files that are excessive in size or burdensome to our systems; and otherwise manage the Services in a manner designed to protect our rights and property.

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in South Africa.

We respect the intellectual property rights of others. If you believe that any material on the Services infringes upon any copyright you own or control, please notify us immediately at info@booastudios.co.za.

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Legal Terms. We may terminate your account and any content or information you posted at any time, without warning, in our sole discretion.

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and will not be liable for any loss, damage, or inconvenience caused by your inability to access the Services during any downtime.

These Legal Terms shall be governed by and defined following the laws of South Africa. BOOA Studios and yourself irrevocably consent that the courts of South Africa shall have exclusive jurisdiction to resolve any dispute in connection with these Legal Terms.

The parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration. Any dispute arising out of these Legal Terms shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber. The seat of arbitration shall be Johannesburg, South Africa. The language of proceedings shall be English.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update the information on the Services at any time, without prior notice.

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand arising out of: your Contributions; use of the Services; breach of these Legal Terms; your violation of the rights of a third party; or any overt harmful act toward any other user of the Services.

We will maintain certain data that you transmit to the Services for the purpose of managing performance. You are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. We shall have no liability to you for any loss or corruption of any such data.

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
